The following promotion is intended for viewing in the 50 United States (excluding Florida) and the District of Columbia only and shall only be construed and evaluated according to United States law. Do not proceed in this portion of the site if you are not a legal resident of, and located in, the 50 United States (except Florida) or the District of Columbia at the time of entry.

KOHLS.COM/CANDIE'S BACK-TO-SCHOOL OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN, NOR WILL A PURCHASE IMPROVE ONE'S CHANCES OF WINNING. OPEN ONLY TO LEGAL RESIDENTS OF THE 50 UNITED STATES (EXCEPT FLORIDA) OR THE DISTRICT OF COLUMBIA WHO ARE 18 YEARS OF AGE OR OLDER. VOID IN FLORIDA, OUTSIDE THE 50 UNITED STATES, AND WHERE PROHIBITED.

1. Eligibility/Entries: The Kohls.com/Candie's Back-to-School Sweeps (the "Sweepstakes") is open to persons who are at least eighteen (18) years of age at the time of entry and a legal resident of the fifty (50) United States (excluding Florida) or the District of Columbia. Employees of Kohl's Department Stores, Inc. (the "Sponsor"), its subsidiaries, affiliates, sales representatives, distributors, advertising and promotion agencies, and members of each of their immediate families (spouses, parents, grandparents, children and siblings, and their respective spouses) and those living in the same household of each are not eligible. Participation in the Sweepstakes constitutes entrant's full and unconditional agreement to, and acceptance of, these Official Rules. Winning a prize is contingent upon fulfilling all requirements set forth herein. Sweepstakes begins at 12:00:00 AM ET on July 19, 2005 and ends online at 11:59:59 PM ET on August 5, 2005 (the "Sweepstakes Period").

To enter, go to http://www.kohls.com, during the Sweepstakes period, click on the "Kohl's/Candie's Back-to-School" link, and complete the registration form by entering your name, street address, city, state, ZIP code, e-mail address, and daytime phone number. In order for the electronic entry to be valid, entrants must click on the "Submit" button on the Website. Entrants must provide a valid e-mail address to enter online. In the event of a dispute as to any entry, entries will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. "Authorized account holder" is defined as the natural person who is assigned to the e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) which is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Proof of being the authorized account holder may be required. Online entries must be submitted by 11:59:59 PM ET on August 5, 2005. Limit one online entry per valid e-mail address.

2. Random Drawing: All Grand Prize winners will be selected in a random drawing from all eligible entries received, on or about August 10, 2005. The drawing will be conducted by The Contest Factory, the judges of this Sweepstakes, whose decisions are final and binding on all matters relating to this Sweepstakes. Winners will be notified by phone and/or certified overnight mail on or about August 11, 2005.

3. PRIZES/ODDS: Grand Prize: Ten (10) 3 Day 2 Night trips for four (4) to the Candie's Celebrity Concert featuring Hilary Duff performing at the Continental Airlines Arena in East Rutherford, NJ on Tuesday August 30th including a backstage meet and greet during the event. Prize includes round trip coach airfare for winner and guests to/from commercial airport close to winner's home, hotel accommodations for 3 days and 2 nights (two rooms double occupancy), transfers to and from Newark Liberty Airport and $500 spending money for the Grand Prize Winner. Dates of travel are August 29, 2005 thru August 31, 2005. Winner must be able to attend the concert on the Sponsor-designated dates or the prize will be forfeited in its entirety. Kohl's reserves the right to substitute the Grand Prize if concert arrangements cannot be completed to Sponsor's satisfaction. Winners and guests must travel on the same itinerary. ARV $5500 each. Meet and greet subject to artist's discretion; no substitution if that portion of prize becomes unavailable.

Total value of all prizes is $55,000. Odds of winning depend upon the total number of entries received.

4. Limitations of Liability: Sponsor and its agents are not responsible for any incorrect or inaccurate information, whether caused by entrants, printing errors, or by any of the equipment or programming associated with or utilized in the Sweepstakes. Any computer, online, telephone or technical malfunctions, delays or human errors that occur in the processing, transmission or receipt of entries, or for inaccurate transcription of entry information, or for entries that are stolen, misdirected, garbled, lost or delayed by computer transmissions or any injury or damage to persons or property, including but not limited to entrants' computers, hardware and/or software, which may be caused directly, or indirectly, in whole or in part, from entrants' participation in the Sweepstakes or receipt, redemption or use of any prize. If, for any reason, the Sweepstakes is not capable of being conducted as planned, including but not limited to infection by computer viruses, bugs, tampering, unauthorized intervention, fraud, technical failures, or other causes beyond the control of Sponsor, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes. Sponsor also reserves the right, in its sole discretion to disqualify any individual found to be violating these Official Rules or suspected of attempting to disrupt or defraud the entry process or the operation of the Sweepstakes, and Sponsor may prosecute or seek other legal redress against anyone suspected of engaging in these acts.

5. Prize Acceptance: Prizes are not transferable or assignable. No substitution or cash redemption allowed except by Sponsor, who may substitute a prize of equal or greater value if advertised prizes become unavailable. All taxes, including federal, state and local taxes, are the sole responsibility of winners who may be issued an IRS 1099 tax form (winners are advised to seek independent counsel regarding prize winnings). Winners and guests will be required to sign and return an Affidavit of Eligibility/Release of Liability and Publicity (where permitted) within seven (7) days of notification. If a potential winner cannot be contacted within seven (7) days after the first attempt to contact the potential winner, if the potential winner does not sign and return the Affidavit of Eligibility/Release of Liability and Publicity (where permitted) in the required time period, or if a prize is returned as undeliverable, the prize will be deemed forfeited and an alternate winner will be selected from among all remaining eligible entries received. By accepting prizes, winners consent to use of name, state of residence and likeness for advertising and promotional purposes online and in print, or in any other media worldwide in connection with the Sweepstakes, without limitation and without additional compensation worldwide, except where prohibited by law. By accepting prizes, winners further agree to release Sponsor and its subsidiaries, affiliates and related companies and each of their respective officers, directors, employees and agents, including but not limited to The Contest Factory (the "Sweepstakes Parties"), Hilary Duff, Rafter H Entertainment and its employees, owners, licensees, and assignees, from any and all liability, loss or damage of any kind arising out of or in connection with winners' participation in this Sweepstakes, or with respect to the awarding, receipt, possession, use and/or misuse of any prize, or the participation in prize-related activities. By accepting prizes, winners further acknowledge that the Sweepstakes Parties have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, express or implied in fact or in law, relative to prize or to any portion thereof, including but not limited to its quality, merchantability, mechanical condition, or fitness for a particular purpose.

6. Entrant's Personal Information: Information collected from entrants online are subject to Sponsor's privacy policy. In addition to any prize notifications, Sponsor may use an online entrant's name, address, e-mail address for future promotional and marketing purposes in accordance with its privacy policy.

7. Official Rules: To request a copy of the Official Rules send a self-addressed stamped envelope by August 7, 2005 to Kohls.com/Candie's Back-to-School Sweeps Rules, P.O. Box 902, Bayonne, New Jersey 07002. Vermont and Washington residents may omit return postage.

8. Winners' List: For the names of the Sweepstakes winners, available after August 22, 2005, send a self-addressed stamped envelope (to be received by August 7, 2005) to: "Kohls.com/Candie's Back-to-School Giveaway Winners," P.O. Box 902, Bayonne, New Jersey 07002.
